TERMS OF USE

Please read these Terms carefully. By creating an account, accessing or using the New-Pay mobile application, the New-Pay portal at www.new-pay.tech or related features (together, the “Service”), you confirm that you have read and accepted them. If you do not accept them, do not use the Service.

1. Providers and ownership

LESS IS MORE d.o.o. Beograd and Avantech Electronics d.o.o. Beograd are together referred to as the “Providers” and individually as a “Provider”. The Providers make available the New-Pay software platform and related technical functions.

Software ownership

The Providers jointly own the New-Pay software solution in equal undivided shares: LESS IS MORE d.o.o. owns 50% and Avantech Electronics d.o.o. owns 50% of the proprietary rights in the software solution, excluding third-party components and rights governed differently by a separate written agreement. This clause describes software ownership; it does not alter statutory or contractual duties, which follow each participant’s actual role in a particular processing activity or transaction.

2. Other participants

“Operator” means a legal entity or entrepreneur that owns, leases or operates a self-service machine and sells goods or provides services to the user.

“Bank” or “Payment Service Provider” means a licensed entity that enables authorisation and processing of cashless payments.

“User” means an individual using the Service. An “Account” is that person’s New-Pay user profile.

The Operator, Bank, app store and other third-party providers are not agents of the Providers and may apply their own terms and privacy notices.

3. Scope and functions of the Service

Depending on the Operator’s configuration and availability, the Service may enable:

  • registration and management of a user Account;
  • identification of a machine or Account using a QR code, NFC or another supported identifier;
  • display of locations, availability, items, prices, labels and allergen information supplied by the Operator;
  • initiation of a top-up or cashless payment, or recording of a cash payment made to the Operator;
  • display of a digital balance, change, bonus or credit where offered by the Operator or another issuer;
  • display of transaction history and download of a PDF fiscal receipt where supplied by the Operator or fiscal system; and
  • notifications, support and other functions related to self-service machines.

The Providers may change or improve functions for technical, security, regulatory or business reasons. Material changes reducing user rights will be communicated where required by law.

4. Eligibility and Account security

You must have the legal capacity required to accept these Terms. Minors are subject to statutory and Operator restrictions, particularly for age-restricted products.

Information you provide must be accurate, complete and current. You must protect credentials, devices and one-time codes and promptly report suspected unauthorised use.

You are responsible for activity through your Account, except where unauthorised activity results from a Provider’s failure or mandatory law provides otherwise.

You must not impersonate another person, bypass controls or use automated methods that overload or disrupt the Service.

5. Payments, top-ups and digital balance

5.1 Cashless payments. The Providers’ role is limited to technical transmission of requests and display of statuses supplied by the Bank, payment processor or Operator. The Bank or Payment Service Provider is solely responsible for authorisation, authentication, processing, settlement, declines, holds and payment-service refunds/chargebacks. The Providers do not assume the Bank’s obligations and do not guarantee approval or completion by the Bank.

5.2 Cash. Where an Operator permits cash top-ups or purchases, the Operator receives, records and fiscalises the cash. The Operator is responsible for change, shortages or excess, proof of payment and cash complaints. The Providers neither hold nor take possession of cash and have no obligation to refund cash.

5.3 Top-ups, balance and credit. A displayed balance, change, bonus or credit is an electronic record based on data from the Operator, Bank and devices. It is not a bank deposit or electronic money issued by the Providers unless the Service expressly identifies another regulated issuer and its terms. Validity, transferability and redemption are determined by the Operator or issuer, subject to mandatory law.

5.4 Complaints. For an unauthorised or incorrectly processed card transaction, contact the Bank; support may assist with technical records. For cash, goods, fiscal receipts or commercial refunds, contact the Operator. The Providers remain responsible for correcting a technical error in the Service attributable to them.

6. Goods, food products and Operator responsibility

The Operator is solely responsible for selecting, procuring, storing, transporting, stocking and dispensing items and for their prices, quantity, quality, conformity, origin, labels, expiry, recalls and availability. This specifically includes food products and compliance with food-safety, hygiene, traceability, labelling, nutrition, allergen and storage requirements.

In relation to the Operator’s goods, the Providers are not the manufacturer, importer, distributor, seller or food business operator and do not physically inspect machines or items. Complaints about missing, defective, damaged or unsafe goods, allergens or consequences of consumption must be directed to the Operator, without limiting rights against a liable party under mandatory law.

7. Accuracy of information

Information about items, prices, ingredients, allergens, stock, locations, machines, transactions and statuses primarily depends on data entered or supplied by Operators, Banks, devices and other third-party sources. New-Pay automatically displays or processes that information and cannot guarantee accuracy, completeness or currency where the entered or supplied data does not reflect the actual situation.

Before purchase or consumption, users should check the physical product label and information on the machine, especially in case of allergies, intolerances or other health restrictions. The Providers will correct within a reasonable time an error originating in their software after proper notice.

8. Fiscal receipts, prices and refunds

The Operator is the merchant and is responsible for price display and calculation, taxes, fiscalisation, receipts, conformity, complaints and commercial refunds. A PDF receipt in the Service displays a document generated or supplied by the Operator or a connected fiscal system. The Providers do not guarantee the fiscal correctness of data they did not generate and can assist only with technical access to the document.

9. Acceptable use

You may use the Service only lawfully and for personal purposes. You must not attempt unauthorised access; alter or bypass security; reverse engineer except where expressly permitted by law; introduce malicious code; abuse refunds or payments; falsify location or identity; interfere with a machine or another person’s rights; or use content to build a competing database.

10. Intellectual property and licence

Subject to these Terms, the Providers grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence for personal use of the Service on a supported device. New-Pay software, design, databases, documentation, marks and Provider content are protected by intellectual-property rights. Operator and third-party content remains owned by the relevant party.

11. Availability, updates and suspension

The Service may be temporarily unavailable due to maintenance, networks, the Bank, Operator, app store, devices or force majeure. The Providers do not promise uninterrupted availability but will apply reasonable professional care. Access may be restricted or suspended for security, abuse prevention, legal compliance or material breach. Where reasonable and lawful, notice will be given.

12. Limitation of liability

To the maximum extent permitted by applicable law, the Providers are not liable for acts or omissions of the Bank, Operator or other third parties; the quality, safety or availability of goods; or inaccurate information entered by third parties. They are not liable for indirect loss, lost profit or loss of data that was not reasonably foreseeable, unless mandatory law provides otherwise.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for wilful misconduct or gross negligence where applicable, death or personal injury caused by culpable conduct, mandatory consumer and data-protection rights, or a Provider’s own technical fault to the extent prescribed by law.

13. Privacy

The processing of personal data is described in the separate New-Pay Privacy Policy. It forms an important part of the information you should read before using the Service.

14. Ending use and Account deletion

You may stop using the Service at any time. You may request Account deletion through Settings > Account > Delete account, where available, or at . Deletion does not override statutory retention periods, Bank or Operator rights, or unresolved obligations. Before deletion, check redemption terms for any balance with the Operator or issuer.

15. App-store terms

If downloaded from Apple App Store or Google Play, the relevant store is not a party to these Terms and is not responsible for the Service, maintenance or claims relating to it except as required by its mandatory rules. Apple and its subsidiaries may be third-party beneficiaries of provisions applying to them. Use must also comply with store and network-operator rules.

16. Changes, governing law and disputes

The Providers may update these Terms. The new version date will be shown in the app or portal and prior notice or renewed consent will be provided where required. Serbian law governs these Terms. The competent court in Belgrade has jurisdiction unless mandatory consumer rules provide another forum. We encourage users to contact support before litigation to seek an amicable solution.
